Terms of Service

By downloading, installing, or using SharpenedEye (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including users on the Signal tier and subscribers to paid plans. We may update these Terms from time to time. Material changes will be communicated via email to registered users. Continued use of the Service after notification constitutes acceptance of the updated Terms.

To access cloud features, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 16 years of age (or the applicable age of digital consent in your jurisdiction) to create an account. You agree to provide accurate and complete information when registering and to keep your account information up to date.

You must notify us immediately at security@sharpenedeye.io if you suspect unauthorized access to your account.

SharpenedEye offers the following subscription tiers: Signal, Focus ($18/month), Clarity ($50/month), and Studio ($100/month). Plan details, feature limits, and pricing are as described on our pricing page at the time of subscription.

Billing

All paid subscriptions are billed in advance on a monthly basis via Stripe. You authorise SharpenedEye to charge your payment method for the applicable subscription fee. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the period end date.

Signal tier limitations

The Signal tier is limited to 5 cloud sessions per month. Exports produced under the Signal tier include a SharpenedEye watermark. We reserve the right to modify Signal tier limits with 30 days' notice.

You agree not to use the Service to:

• Record, upload, or share content that violates any applicable law, including content that is defamatory, obscene, or infringes third-party intellectual property rights.
• Record individuals without their knowledge or consent in jurisdictions where such recording is prohibited.
• Attempt to reverse-engineer, decompile, or extract the source code of the Service, except as permitted by applicable law.
• Use automated means to access the Service's API in excess of published rate limits.
• Resell, sublicense, or make the Service available to third parties without our express written permission.
• Use the Service in a way that could damage, disable, or impair our infrastructure or other users' access to the Service.

We reserve the right to suspend or terminate accounts that violate these acceptable use requirements without prior notice.

SharpenedEye and its underlying technology, including the synchronization engine, the desktop application, the web application, and all associated trademarks and brand elements, are the exclusive property of Agoo AI LLC These Terms do not grant you any rights in or to our intellectual property beyond the limited licence to use the Service as described herein.

The SharpenedEye desktop application is distributed under a proprietary licence. You may not copy, modify, distribute, or create derivative works of the desktop application without our express written permission.

You retain all ownership rights in the recordings, annotations, and other content you create using the Service ("Your Content"). By uploading Your Content to our cloud services, you grant SharpenedEye a limited, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely for the purpose of providing the Service to you.

We do not claim ownership of Your Content. We do not use Your Content to train machine learning models. We do not share Your Content with third parties except as necessary to provide the Service (e.g., storing files in Cloudflare R2).

You are solely responsible for Your Content and for ensuring that it complies with applicable law and these Terms.

Sync accuracy targets (≤100ms Δt₀, ≤50ms drift per 10 minutes) are engineering objectives, not guaranteed service levels. Actual sync performance depends on hardware, operating system, and session configuration.

To the fullest extent permitted by applicable law, Agoo AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or loss of business opportunity, arising from your use of or inability to use the Service.

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the greater of (a) the amounts you paid us in the 12 months preceding the claim, or (b) $100 USD.

You may terminate your account at any time by following the instructions in your account settings. Upon termination, your access to the Service will cease and your data will be processed in accordance with our Data Deletion Policy.

We may suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated these Terms. We may also terminate the Service entirely, in which case we will provide at least 30 days' advance notice to registered users.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Delaware.

If you are a consumer in the European Union, you may also have rights under local consumer protection law that supplement these Terms. Nothing in these Terms limits your statutory rights under applicable EU law.
